Terms of Service

These Terms of Service (“Terms”) govern access to and use of JDL Access Policy Nexus™ (the “Service”), a software product of JDL Access, LLC (“JDL Access,” “we,” “us,” or “our”), a Florida limited liability company at 1465 S Fort Harrison Ave., Ste 207, Clearwater, FL 33756. The Service is powered by technology provided by RxWare Inc. By creating an account, clicking “I agree,” or using the Service, you agree to these Terms on behalf of yourself and the organization you represent (“Customer”).
1. The Service
The Service monitors published payer medical-policy documents, summarizes coverage positions for Customer-selected CPT®/HCPCS codes, and alerts Customer when those documents change. Outputs may include policy summaries, evidence excerpts, coverage classifications (including Positive, Negative, and Silent), covered-lives figures where data is resolvable, and export files.
The Service is an information and workflow tool. It is not a coverage determination, benefit verification, prior-authorization decision, or clinical, legal, coding, or billing advice. Customer must confirm every result against the payer’s official policy document before making a coverage, authorization, or billing decision.
2. Eligibility and accounts
The Service is offered to organizations, not to consumers for personal use. The person who accepts these Terms represents that they have authority to bind Customer. Customer is responsible for all activity under its seats, for keeping credentials confidential, and for promptly notifying us of unauthorized access.
Each named user may hold one active session at a time. Optional multi-factor authentication is available and recommended. Sharing a single login across people is not permitted.
3. Subscriptions, seats, and codes
Access is sold as a subscription for a stated number of CPT®/HCPCS codes and user seats, at the price shown at checkout or in an order form. Enterprise configurations (including four or more codes, or seven or more seats) are scoped separately.
Fees are billed annually unless an order form says otherwise. Card payments authorize a hold at checkout and are captured when JDL Access approves the signup. Invoice customers pay according to the invoice terms. Fees are non-refundable except as required by law or as we expressly agree in writing. We may suspend access for overdue amounts.
4. Acceptable use
Customer and its users will not:
- use the Service to process or store protected health information (PHI) or other patient-identifying data;
- scrape, copy, or republish payer policy text beyond what the Service itself displays or exports for Customer’s internal use;
- attempt to bypass seat limits, access controls, or another customer’s workspace;
- reverse engineer, interfere with, or overload the Service;
- use outputs as a substitute for reviewing the source payer document;
- misrepresent a Service summary as an official payer decision.
5. Policy content and covered lives
Payer websites change, go offline, or sit behind provider portals. Some sources cannot be read automatically. Silent, unresolved, or portal-gated designations mean we could not confirm a position — they are not a guess. Covered-lives figures are estimates drawn from public or licensed sources and may be incomplete, lagged, or marked unresolved. Summaries are produced with automated analysis and may be incomplete or inaccurate.
6. Intellectual property
JDL Access and its licensors own the Service, including software, models, workflows, branding (including JDL Access Policy Nexus™), and documentation. Customer owns its account data, tracked-code selections, and comments. Customer receives a limited, non-exclusive, non-transferable right to use the Service during the subscription term, solely for Customer’s internal business purposes, as further described in the Software Subscription Agreement.
Published payer policies remain the property of the issuing payer. The Service links to those sources and does not grant Customer any right in the payer’s documents beyond viewing them as the payer makes them available.
7. Confidentiality and privacy
Each party will protect the other’s non-public business information with at least reasonable care. The Service is designed so that no PHI enters the platform or the support channel. Customer will not paste patient names, member IDs, clinical records, or other identifying health information into the Service, exports, or support tickets. If such information is submitted in error, we may delete it and ask Customer to resend without it.
8. Third-party services
The Service depends on third parties, including payer websites, payment processors (such as Stripe), email and support tools, and infrastructure operated by RxWare Inc. Those parties have their own terms. We are not responsible for payer sites, portal outages, or a payer’s decision to gate or withdraw a document.
9. Support
Support is offered by email at info@jdlapolicynexus.pro and through the in-product support form. We aim to respond to ordinary inquiries within one business day. We do not promise a specific uptime percentage unless an order form says otherwise.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, JDL ACCESS AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SUMMARIES, CLASSIFICATIONS, COVERED-LIVES FIGURES, OR ALERTS ARE COMPLETE, CURRENT, OR ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER JDL ACCESS NOR ITS LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES CUSTOMER PAID TO JDL ACCESS FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM. THE FOREGOING DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
12. Indemnity
Customer will defend and indemnify JDL Access and its licensors against claims arising from Customer’s use of the Service in violation of these Terms, Customer’s submission of PHI or other prohibited data, or Customer’s reliance on a summary without confirming the payer source document.
13. Term and termination
These Terms start when Customer first accepts them and continue for the subscription term, renewing as required by the order or checkout unless either party gives notice of non-renewal. We may suspend or terminate access for material breach, including non-payment or acceptable-use violations. Customer may stop using the Service at any time; fees already paid are not refunded except as required by law. Sections that should survive (including 5–12 and 14) survive termination.
14. Changes
We may update these Terms by posting a revised version on this page and updating the effective date. Material changes will be flagged in-product or by email where we have a contact address. Continued use after the effective date constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue lies in the state or federal courts located in Pinellas County, Florida, and each party consents to that jurisdiction.
16. General
These Terms, the Software Subscription Agreement, and any order form are the entire agreement for the Service and supersede prior discussions on the same subject. If there is a conflict, an executed order form controls, then the Software Subscription Agreement, then these Terms. Customer may not assign these Terms without our written consent; we may assign them in connection with a reorganization or sale. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
